I know the sockets are the same, but this processor has HyperThreading, and I didn't know if that would cause a problem.

This is the best thing you should do...
buy an 775 board with a Pentium D or if you have enough go with a Core 2 Duo
($93 for a Pentium D)
(around $70 for a decent board that works with Pent D and C2D)
if you want to keep the same board then go with

Yeah, I'll probably go with that. I wouldn't buy a new board. Maybe soon, I'll just build an entirely new gaming system, but for now, I just wanna keep my Dell up to somewhat "par".
Right now I have 768 MB RAM, 200 GB + 40 GB HDDs, Turtle Beach Santa Cruz sound card, BFG Geforce 7800GS OC @ 4x AGP GPU, 1.8 GHz processor.
That's why I wanna upgrade my processor, just so it lasts me a bit longer. P

Yeah, it used to have a 40 GB hard drive and 256 MB of RAM. Over the recent years it's been upgraded to another 200 GB hard drive, +512 MB of RAM, and then to a FX5500 OC GPU, and then to a 7800GS OC. P
So I've kept things pretty up to date...sort of. Well, with what it can handle, at least.

a word of wisdom.... dells have been known (not always i know im gonna get jumped on for saying this) but sometimes, they make there motherboards, so that it will only accept certain processors irregardless of the socket etc... I REPEAT THIS IS NOT ALWAYS THE CASE...
just my 2 cents screw dells mobo, take it out, install a new mobo-cpu combo sell your dell one and get part of the money back...
another thought... new mobo and 3.33ghz processor (69.99)

And also...changing my motherboard would mean risking my PCI slots, I have three used up, and I need all of them, I would need different memory, I would have to reformat my computer...again, after I just did it over December, and yeah. I think I'll just go with upgrading my processor to the 2.8 GHz one. Is there a HT 2.8GHz processor?

Wouldn't I have to reformat my system so things don't go kablooee when I put a new motherboard in? And a motherboard...I'd need a different power supply...and my RAM may not work...and the motherboard may not have 3 PCI slots...which are all needed, plus I'd need an AGP slot for my video card. I don't think it's worth the pain completely upgrading this system. If I wanted a new system right now, I'd build a Core 2 Duo system. ;)

The easy answer is yes, if you install a new mobo you will need to reinstall the os.
The longer answer is that isnt necessarily true, if you get a mobo with the same exact chipset it MAY still work. No garuntee.
